Purpose

These Terms of Sale (TOS) govern the provision, by Coopérative Yelessa ("Soko"), of agricultural price intelligence services, B2B matchmaking and institutional reporting through the platform at soko.yelessa.cg and its mobile application.

Any subscription to a Soko plan implies full acceptance of these TOS.

User profiles and plans

Soko offers three distinct user profiles, each with several plans:

Farmer

  • Discovery Free, 14-day trial.
  • Essential 1 000 FCFA / month.
  • Pro — 2 500 FCFA / month.

B2B Buyer

  • Starter — 15 000 FCFA / month.
  • Business — 45 000 FCFA / month.
  • Enterprise — 120 000 FCFA / month.

Organization

  • Observatory 2,5 M FCFA / year.
  • Insights+ — 6 M FCFA / year.
  • Partnership Custom quote, framework agreement.

Subscription and user account

Subscribing to a plan requires creating a user account. The user agrees to provide accurate, complete and up-to-date information. Any misrepresentation may lead to immediate suspension or termination of the account.

B2B Buyer and Organization accounts may be subject to manual verification by our team (RCCM check, legal name verification or institutional affiliation). Validation may take up to three (3) business days.

Pricing and payment

Prices are stated in FCFA, excluding any applicable taxes depending on the user's jurisdiction. For users outside the CEMAC zone, a conversion to USD or EUR is applied at billing using the official daily exchange rate.

  • Mobile money : Airtel Money, MTN MoMo — farmers and B2B buyers.
  • Bank transfer : all profiles, annual plans recommended.
  • Institutional debit : reserved for Organization profile.

Payment is due at subscription for monthly plans. For annual licenses (Organization), a 50% deposit is due upon signing and the balance within thirty (30) days.

Published prices are firm and do not include automatic promotional discounts. Any specific pricing condition is the subject of a prior written agreement between Soko and the user.

Commitment period and cancellation

  • Farmer : no commitment. Cancellable at any time, effective at the end of the current month.
  • B2B Buyer : minimum three (3) month commitment. After that, monthly cancellation with fifteen (15) days notice.
  • Organization : non-refundable annual license pro rata, except in cases of force majeure.

Cancellation is performed from the user account or by email at yelessa.coop@gmail.com with acknowledgment of receipt. At term, access to paid features is disabled. User data is retained for 30 days to allow reactivation, then deleted unless otherwise requested.

B2B marketplace

The marketplace allows B2B Buyers and producers to publish commercial offers and requests. Soko acts as a technical intermediary and is not a party to contracts entered into between users.

A commission of 2 to 5% may apply to transactions concluded via the marketplace, depending on the subscribed plan and processed volume. Details are communicated to the user before each transaction is validated.

Users agree to respect usage rules: accuracy of published information, conformity of proposed products, compliance with applicable health and phytosanitary standards. Any fraudulent, misleading or illegal publication may lead to account suspension without notice.

Customer support

  • Farmer : SMS and phone support.
  • B2B Buyer : dedicated B2B hotline, Monday to Friday, 8am-6pm (local time).
  • Organization : named account manager and contractual SLA.

Service availability

Soko commits to using reasonable means to ensure platform availability averaging 99% monthly, excluding scheduled maintenance and force majeure. Organization users benefit from enhanced SLA detailed in their contract.

Upgrade and downgrade

Users may change plans at any time from their account. Upgrades take effect immediately with pro rata price adjustment. Downgrades take effect at the end of the current billing period.

Soko reserves the right to revise pricing annually. Any significant change is communicated to users with a minimum sixty (60) day notice.

Warranties and liability

Price data published on Soko is provided for informational purposes only. Soko does not guarantee absolute accuracy or suitability for a specific use. Soko's liability is limited to amounts actually paid by the user during the twelve (12) months preceding the damage.

Soko shall in no event be liable for indirect damages, loss of profit, loss of opportunity or data loss suffered by the user.

Force majeure

Soko cannot be held liable for any failure to fulfill its obligations resulting from force majeure, as defined by Congolese case law, including: natural disasters, conflicts, telecom or power infrastructure outages, restrictive governmental decisions.

Amendment of TOS

These TOS may be amended. Any amendment is notified to users by email and published on the site, with thirty (30) days notice before entry into force. Continued use of services after that date constitutes acceptance of the new TOS.

Applicable law and jurisdiction

These TOS are governed by the law of the Republic of Congo. In case of dispute, the parties shall attempt to reach an amicable solution. Failing that, the dispute shall be brought before the competent courts of Brazzaville.
